1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Zovio Inc. ("Zovio," "we," "our," or "us") governing your access to and use of the Zovio AI-powered virtual receptionist service, including our website, applications, and related services (collectively, the "Service").
By creating an account or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.
2. Description of Service
Zovio provides an AI-powered virtual receptionist service that:
- Answers phone calls on behalf of your business using artificial intelligence
- Collects caller information including name, contact details, and service requests
- Schedules appointments based on your availability
- Provides call transcripts, recordings, and analytics
- Sends notifications about incoming calls and appointments
3. Account Registration
To use the Service, you must:
- Be at least 18 years old
- Provide accurate and complete registration information
- Maintain the security of your account credentials
- Promptly notify us of any unauthorized access to your account
- Accept responsibility for all activities under your account
We reserve the right to suspend or terminate accounts that violate these Terms or contain false information.
4. Subscription Plans and Payments
4.1 Subscription Tiers
We offer various subscription plans with different features and call limits. Plan details and pricing are available on our pricing page.
4.2 Free Trial
New accounts receive a free trial period. Trial terms and limitations are specified during registration.
4.3 Billing
- Paid subscriptions are billed in advance on a monthly or annual basis
- All fees are non-refundable except as required by law
- We may change pricing with 30 days notice
- Failure to pay may result in service suspension
4.4 Cancellation
You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial months.
5. Acceptable Use Policy
You agree NOT to use the Service to:
- Violate any applicable laws or regulations
- Engage in fraudulent, deceptive, or misleading practices
- Harass, threaten, or harm others
- Transmit spam, malware, or other harmful content
- Impersonate any person or entity
- Interfere with or disrupt the Service or servers
- Attempt to gain unauthorized access to any systems
- Use the Service for illegal telemarketing or robocalling
- Collect personal information without proper consent
- Resell or redistribute the Service without authorization
6. Call Recording Consent
Our AI receptionist informs callers that they are speaking with an AI assistant and that calls may be recorded. By using the Service, you acknowledge and agree that:
- Calls handled by your Zovio line will be recorded
- You have the right to record calls in your jurisdiction
- You will comply with all applicable call recording consent laws
- Recordings are stored securely and may be accessed through your dashboard
7. Intellectual Property
7.1 Our IP
The Service, including all software, AI models, designs, logos, and content, is owned by Zovio and protected by intellectual property laws. You receive a limited, non-exclusive, non-transferable license to use the Service for its intended purpose.
7.2 Your Content
You retain ownership of content you provide (business information, greetings, etc.). You grant us a license to use this content to provide the Service.
8. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- MERCHANTABILITY
- FITNESS FOR A PARTICULAR PURPOSE
- NON-INFRINGEMENT
- ACCURACY OR RELIABILITY OF AI RESPONSES
- UNINTERRUPTED OR ERROR-FREE OPERATION
We do not guarantee that the AI will correctly understand or respond to all callers, or that the Service will meet all of your requirements.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- ZOVIO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
- OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM
- WE ARE NOT LIABLE FOR LOST BUSINESS, MISSED CALLS, OR DAMAGES ARISING FROM AI ERRORS OR MISUNDERSTANDINGS
Some jurisdictions do not allow limitation of certain damages, so some of these limitations may not apply to you.
10. Indemnification
You agree to indemnify, defend, and hold harmless Zovio and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including attorneys' fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any third-party rights
- Your violation of applicable laws
11. Service Modifications and Termination
We reserve the right to:
- Modify, suspend, or discontinue any part of the Service at any time
- Change features, pricing, or availability with reasonable notice
- Terminate your account for violation of these Terms
- Refuse service to anyone for any reason
Upon termination, your right to use the Service ceases immediately. We may delete your data in accordance with our Privacy Policy.
12. Dispute Resolution
12.1 Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.
12.2 Arbitration
Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the American Arbitration Association rules. You waive your right to participate in class action lawsuits.
12.3 Exceptions
Either party may seek injunctive relief in court for intellectual property violations or unauthorized access to the Service.

- Entire Agreement: These Terms constitute the entire agreement between you and Zovio
- Severability: If any provision is found unenforceable, the remaining provisions remain in effect
- Waiver: Failure to enforce any right does not constitute a waiver of that right
- Assignment: You may not assign these Terms without our consent
- Force Majeure: We are not liable for delays due to circumstances beyond our control
14. Changes to Terms
We may revise these Terms at any time. We will notify you of material changes via email or through the Service. Continued use after changes constitutes acceptance of the revised Terms.
