1. Introduction
These Terms of Service (the "Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you" or "User") and Zovio ("Company", "we", "us", or "our"), concerning your access to and use of the www.zovio.ai website and our AI-powered virtual receptionist services (collectively, the "Service").
By accessing the Service, you confirm that you have read, understood, and agreed to be bound by all of these Terms. If you do not agree with all of these Terms, you are expressly prohibited from using the Service and must discontinue use immediately.
2. Description of Services
Zovio provides an AI-powered phone handling platform. Our Service includes, but is not limited to:
Automated AI receptionists capable of answering inbound calls.
Conversational AI for scheduling, query responses, and data collection.
Outbound calling capabilities initiated by the User.
Dashboard analytics, call logs, and transcripts.
Zovio is a technology platform provider. We provide the infrastructure to facilitate calls using artificial intelligence. We do not control the content of the calls, the time they are made, or the recipients of such calls.
3. Account Registration
To access the Service, you must register for an account. You agree to provide accurate, current, and complete information during the registration process. You are responsible for safeguarding your password and for all activities that occur under your account. You must be at least 18 years of age to use this Service.
4. Compliance with Laws (Critical User Responsibility)
You are solely responsible for ensuring your use of the Service complies with all applicable laws.
4.1 Call Recording and Wiretapping Laws
The Service automatically records calls to function (transcription and processing). Laws regarding the recording of telephone conversations vary by state and country (e.g., "Two-Party Consent" states like California, Florida, Illinois, etc.).
User Warranty: You represent and warrant that you will provide all necessary notices to callers to inform them that the call is being recorded (e.g., configuring the AI to say "This call is recorded").
Indemnification: You agree to fully indemnify Zovio for any legal action arising from your failure to inform callers of recording or obtain necessary consent.
4.2 Outbound Calling (TCPA & Telemarketing)
If you use the Service for outbound calls:
You must comply with the Telephone Consumer Protection Act (TCPA) and the Telemarketing Sales Rule (TSR).
You represent that you have obtained prior express written consent to contact the recipients.
You are responsible for scrubbing your lists against the National Do Not Call Registry.
You must strictly adhere to calling time restrictions (e.g., no calls before 8 AM or after 9 PM).
5. Prohibited Uses
You agree not to use the Service for:
Emergency services (911/112). The Service is not a replacement for traditional telephone services and cannot connect to emergency services.
Unlawful, fraudulent, or malicious activities.
Harassing, threatening, or abusive calls.
Transmitting viruses, malware, or harmful code.
Violating the intellectual property or privacy rights of third parties.
recording calls involving sensitive information (e.g., credit card numbers, SSNs, HIPAA-protected health information) unless you have a specific written agreement (BAA) with us.
We reserve the right to terminate your account immediately if we suspect illegal or prohibited activity.
6. AI Disclaimer & Accuracy
You acknowledge that the Service utilizes Artificial Intelligence (AI) provided by third-party vendors (e.g., OpenAI).
No Guarantee of Accuracy: AI agents can "hallucinate" or provide incorrect information. Zovio does not guarantee the accuracy of transcripts, appointment scheduling, or AI responses.
Human Review: You are responsible for verifying all AI-generated data before taking action on it.
No Professional Advice: The AI is not a lawyer, doctor, or financial advisor.
7. Fees and Payment
Subscription: Access to the Service is billed on a subscription basis (monthly or annually) as set forth on our Pricing Page
Usage Fees: Certain features (e.g., per-minute talk time) may incur usage fees in addition to the subscription. These are billed in arrears or deducted from a credit balance.
Changes: We reserve the right to change pricing with notice.
Refunds: Payments are non-refundable except as required by law.
8. Intellectual Property
Our IP: Zovio retains all rights to the Service, code, software, and proprietary AI prompts.
Your Content: You retain rights to your business data and call recordings. You grant Zovio a license to process, store, and use this data to provide the Service and improve our AI models (on an anonymized basis).
9. Data Retention
We retain call logs, recordings, and transcripts for the duration of your active subscription. Upon termination of your account, we may delete your data in accordance with our data retention policies. It is your responsibility to export any data you wish to keep prior to termination.
10. Third-Party Services
The Service integrates with third-party providers (Twilio, OpenAI, Stripe, etc.). We are not responsible for the availability, performance, or terms of service of these third-party providers.
11. Indemnification
You agree to indemnify, defend, and hold harmless Zovio, its officers, directors, employees, and agents from any claims, liabilities, damages, and expenses (including legal fees) arising from:
Your use of the Service.
Your violation of these Terms or any applicable law (specifically Wiretapping laws and TCPA).
Any dispute between you and a caller/third party.
12. Limitation of Liability
To the fullest extent permitted by applicable law, in no event will Zovio, its affiliates, officers, directors, employees, agents, suppliers, or licensors be liable to any person for any indirect, incidental, special, punitive, cover or consequential damages (including, without limitation, damages for lost profits, revenue, sales, goodwill, use of content, impact on business, business interruption, loss of anticipated savings, loss of business opportunity) however caused, under any theory of liability, including, without limitation, contract, tort, warranty, breach of statutory duty, negligence, or otherwise, even if Zovio has been advised as to the possibility of such damages or could have foreseen such damages.
12.1. Platform Liability: To the fullest extent permitted by law, Zovio shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages resulting from your use of our platform for outbound calls. This includes, but is not limited to, any damages arising from violations of telemarketing laws, privacy laws, or other applicable regulations.
12.2. User's Assumption of Risk: By using our platform for outbound calls, you assume all risk associated with such use. You acknowledge that it is your responsibility to use the platform in compliance with all applicable laws and regulations, and that Zovio has no control over or responsibility for the content, timing, or recipients of calls made through our platform.
12.3 No Warranty for AI-Generated Content: Zovio provides no warranty regarding the accuracy, completeness, or appropriateness of any AI-Generated Content. User uses such content at their own risk and is solely responsible for any decisions or actions taken based on AI-Generated Content. Zovio shall not be liable for any damages or losses resulting from decisions made by Licensee based on AI-Generated Content or AI model outputs. User acknowledges that the AI Platform is a tool to assist in decision-making and does not replace human judgment or expertise
13. Dispute Resolution
Any dispute arising under these Terms shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in the State of Florida.
14. Termination
We may terminate or suspend your account immediately, without prior notice, for any breach of these Terms. Upon termination, your right to use the Service will immediately cease.
15. Changes to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes via email or dashboard notification. Continued use of the Service constitutes acceptance of the new Terms.
